1. Introduction
These Terms govern access to and use of the software platform, dashboards, APIs, and related services (collectively, the “Services”) provided by DiamanteTek (“DiamanteTek”, “Company”, “we”, “us”, or “our”), accessible at https://www.diamantetek.com.
DiamanteTek is a Software-as-a-Service (SaaS) platform that enables businesses to manage payment-related workflows, reporting, and integrations. DiamanteTek does not provide payment processing services. Payment-related services are provided by Stripe, Inc. and its affiliates (“Stripe”).
By registering for or using the Services, you agree to these Terms.
2. Relationship With Stripe
2.1 Stripe as Payment Processor
DiamanteTek uses Stripe as its underlying payment processor and settlement provider. All payment transactions, fund custody, settlement, and payouts are handled by Stripe in accordance with Stripe’s applicable agreements.

If you use payment functionality, you also agree to Stripe’s:

In the event of a conflict, Stripe’s terms govern payment services.
3. Eligibility and Account Registration
You represent and warrant that you:

Are legally able to enter into binding agreements

Will comply with all applicable laws, including AML, KYC, sanctions, and consumer protection laws
We may suspend or terminate access if required by Stripe or applicable law.
4. SaaS Platform Services
The Services may include:

Hosted software dashboards

Payment orchestration via Stripe Connect (Custom)

Subscription and usage management

Transaction monitoring and reporting

Fee calculation and settlement logic

API access (where enabled)
DiamanteTek may update, modify, or discontinue features at any time.
5. Pricing and Fees
5.1 Subscription Fees (SaaS)
Access to the Services requires payment of a recurring subscription fee, billed monthly in advance.
Current Plans:

Basic Plan – starting at $299 per month

Standard Plan – starting at $499 per month

Premium Plan – starting at $999 per month
Pricing may vary based on usage, enabled features, transaction volume, or negotiated enterprise terms. All fees are disclosed prior to activation and visible within your dashboard.
Subscription fees are non-refundable, except as required by law or expressly stated in a written agreement.
5.2 Platform Transaction Fees
DiamanteTek may charge platform fees in connection with transactions processed through the Services, including per-transaction or percentage-based platform fees, as disclosed in your account.
5.3 Stripe Fees (Third-Party)
Stripe charges separate fees for payment processing and related services. Stripe fees are determined solely by Stripe and are in addition to DiamanteTek fees.
5.4 Fee Authorization
You authorize DiamanteTek and Stripe to deduct applicable fees from invoices, transaction proceeds, balances, or payouts as permitted under Stripe’s agreements.
6. Funds Flow and Payouts (Stripe Connect – Custom)
6.1 Funds Handling
All funds are held, safeguarded, and settled by Stripe. DiamanteTek does not hold, safeguard, or transmit funds.
6.2 Payout Timing
Payout timing and availability are determined by Stripe and may be delayed due to:

Risk or compliance reviews

Disputes or chargebacks
-
Regulatory or banking requirements
DiamanteTek does not guarantee payout timing.
7. Chargebacks, Refunds, and Disputes
You are solely responsible for:

Chargebacks, reversals, refunds, and disputes

Customer communications regarding transactions
-
Responding to Stripe dispute requests
Stripe may debit your Stripe balance for disputed or reversed transactions in accordance with its terms.
8. Compliance and Prohibited Use
You may not use the Services for:

Illegal, deceptive, or fraudulent activity

Businesses prohibited by Stripe policies
-
Circumventing fees, controls, or compliance measures
We may monitor activity and share information with Stripe as required.
9. Suspension and Termination
We may suspend or terminate your access immediately if:

Required by Stripe

Required by law
-
We determine unacceptable risk or policy violations
Outstanding fees and obligations survive termination.
10. Disclaimers
The Services are provided on an “as is” and “as available” basis. DiamanteTek does not guarantee uninterrupted service, payment authorization, or settlement outcomes.
11. Limitation of Liability
To the maximum extent permitted by law, DiamanteTek is not liable for indirect, incidental, or consequential damages. Aggregate liability will not exceed the fees paid to DiamanteTek in the twelve (12) months preceding the claim.
12. Indemnification
You agree to indemnify and hold DiamanteTek harmless from claims arising out of your use of the Services, violation of these Terms, or violation of Stripe’s terms or applicable law.
12A. Arbitration Agreement and Waiver of Class Actions
12A.1 Mandatory Arbitration
Except as described below, any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively through binding arbitration.
Arbitration shall be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules and shall take place in Wyoming or Florida, at DiamanteTek’s election.
12A.2 Exceptions
Either party may seek injunctive or equitable relief in court for claims related to:

Intellectual property infringement or misuse

Unauthorized access or security breaches

Enforcement of confidentiality obligations
12A.3 Individual Basis / Class Action Waiver
Arbitration will be conducted on an individual basis only. You waive any right to participate in a class, consolidated, or representative action.
12A.4 Arbitration Authority
The arbitrator has exclusive authority to determine the interpretation, applicability, and enforceability of this arbitration agreement.
12A.5 Fees and Costs
Each party bears its own legal fees unless otherwise required by law or determined by the arbitrator.
12A.6 Governing Law (Arbitration)
This arbitration agreement is governed by the Federal Arbitration Act (FAA).
13. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Wyoming and the State of Florida, without regard to conflict-of-law principles.
Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in Wyoming or Florida.
14. Changes to These Terms
We may update these Terms from time to time. Updates will be posted on https://www.diamantetek.com. Continued use of the Services constitutes acceptance of the revised Terms.

Appendix A – Refunds and Cancellation (SaaS)

Appendix B – Privacy and Data Protection (Stripe-Aligned)
DiamanteTek processes personal data solely to provide the Services. Payment-related personal data is processed by Stripe in accordance with Stripe’s Privacy Policy.
DiamanteTek does not store full payment card numbers and applies industry-standard security measures. For full details, refer to the Privacy Policy available on https://www.diamantetek.com.
